1. Services Provided
BEB MARKETING (SMC-PRIVATE) LIMITED offers a variety of marketing services, including but not limited to digital marketing, social media management, SEO, content creation, paid advertising campaigns, brand strategy, and website development.
- Service Agreement: A separate agreement or contract may be required for specific services. Once you engage our services, we will confirm the scope, deliverables, timelines, and payment terms in writing.
- Custom Work: All services will be carried out based on the agreed-upon project scope, specifications, and pricing. Any changes to the original agreement must be mutually agreed upon and may result in additional charges.
2. Client Responsibilities
- Accurate Information: You agree to provide accurate and complete information necessary for the execution of the services, including business details, branding materials, and any other relevant data.
- Timely Feedback: You are required to provide feedback and approvals promptly to ensure the timely completion of services. Delays in your response may lead to delays in the delivery of the services.
- Intellectual Property Rights: You confirm that you have the necessary rights to use all logos, images, content, and other materials you provide to us for marketing purposes. You are responsible for securing any permissions or licenses for third-party content.
3. Payment Terms
- Payment Methods: Payment for services may be made by bank transfer, credit/debit card, or another mutually agreed-upon method. All payments must be made in Pakistani Rupees (PKR) or any other currency as agreed upon in the contract.
- Invoicing & Payment Schedule: Unless otherwise specified, payment is due within [30 days] of the invoice date. For projects with a defined timeline, payments may be structured in installments as per the agreed payment schedule.
- Late Payments: Late payments will incur a [X%] interest charge for every [X] days past the due date. If payments are delayed beyond [X] days, we reserve the right to suspend or terminate services until outstanding balances are settled.
- Refunds: Refunds are subject to our Refund Policy. If you are entitled to a refund, the amount and conditions will be determined based on the services rendered and any agreements made.
4. Delivery and Performance
- Timelines: We aim to deliver services in a timely manner as per the project agreement. However, the delivery of services is dependent on your timely cooperation and provision of necessary resources.
- Delays: We are not responsible for delays caused by unforeseen circumstances or delays attributable to the client, including but not limited to late approvals, lack of materials, or failure to provide necessary resources.
- Quality of Work: We commit to providing high-quality marketing services based on industry standards. If there is dissatisfaction with our deliverables, please refer to our Refund Policy and discuss it with us to resolve the issue.
5. Confidentiality
- Non-Disclosure: Both parties agree to keep confidential all proprietary or sensitive information received from the other party during the course of the service. This includes business data, marketing strategies, and any other confidential materials.
- Exceptions: Confidentiality obligations do not apply if the information becomes public through no fault of the receiving party, or if disclosure is required by law.
6. Intellectual Property Rights
- Ownership of Materials: Unless otherwise agreed, all marketing materials (including content, designs, strategies, etc.) created by BEB MARKETING (SMC-PRIVATE) LIMITED remain our property until full payment is received. Upon full payment, ownership rights to the final deliverables will be transferred to you.
- License to Use: By engaging our services, you grant BEB MARKETING (SMC-PRIVATE) LIMITED a non-exclusive, royalty-free license to use your materials (such as logos, images, and content) for the purpose of performing the services and promoting the work.
7. Limitation of Liability
- Indemnification: You agree to indemnify and hold harmless BEB MARKETING (SMC-PRIVATE) LIMITED from any claims, damages, losses, or expenses arising out of your use of the services, including legal fees.
- Limit of Liability: In no event will BEB MARKETING (SMC-PRIVATE) LIMITED be liable for any indirect, incidental, or consequential damages arising from the use of our services, including loss of profits or business interruption.
- Maximum Liability: Our maximum liability for any claims related to our services will not exceed the total amount paid by you for the specific service that is the subject of the claim.
8. Termination of Services
- Termination by Client: You may terminate our services at any time by providing written notice. However, termination does not relieve you of the obligation to pay for services already rendered up until the termination date.
- Termination by BEB MARKETING: We reserve the right to terminate or suspend services if you fail to meet your obligations under this agreement, including late payments, failure to provide necessary materials, or failure to cooperate as required.
- Post-Termination Rights: Upon termination, we will provide you with all deliverables completed up until the termination date. If services are terminated before the final deliverables are completed, you may be entitled to a partial refund based on the work already performed.
9. Force Majeure
BEB MARKETING (SMC-PRIVATE) LIMITED will not be held responsible for delays or failure to perform services due to events beyond our control, including but not limited to natural disasters, acts of government, pandemics, wars, or strikes. In such cases, we will make reasonable efforts to notify you and reschedule or adjust services accordingly.
10. Governing Law and Dispute Resolution
- Governing Law: This Agreement will be governed by and construed in accordance with the laws of Pakistan.
- Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved through amicable discussions. If a resolution cannot be reached, the dispute will be referred to binding arbitration in Lahore, Pakistan, in accordance with the applicable laws.
11. Amendments
We reserve the right to modify or update these Terms and Conditions at any time. Any changes will be posted on our website, and the revised terms will be effective immediately upon posting. It is your responsibility to review these terms periodically.
